CreoSG ups stake in GNC to 71.45% from 57.78% via third-party allotment

CreoSG and its related parties acquired 1,530,140 new shares via GNC's third-party allotment, raising ownership from 57.78% to 71.45%.
New share acquisition price was 2,845 KRW, a 3.8% premium over the base price of 2,740 KRW.
Acquisition funds of approx. 3.5 billion KRW were raised through debt-to-equity swap.
Adjustment of convertible bond exercise price added 299,914 potential shares (call option).
CreoSG and Creo Estate pledged 1,050,965 shares (17.55%) of GNC to Synergy Turnaround 30 Fund as collateral (related to 16th CB).
Total outstanding shares increased 25.8% to 5,990,386, diluting existing shareholders.
